Suquamish Tribe Announces Acquisition of Kitsap OBGYN.
The Suquamish Tribe has announced plans to acquire Kitsap OBGYN next year, keeping the currently independent provider afloat and persevering access to maternal care for expecting mothers in Kitsap County.
Much of the clinic's operations will remain the same, but moving under the tribe's umbrella will allow its 42 staff members to offer more efficient and effective care, said Amity Marriott, a doctor for Kitsap OBGYN. The agency will continue assisting with
deliveries at St. Michael Medical Center and running clinics in Poulsbo and Silverdale, serving both tribal and non-tribal members.

Private Equity Firm Finally Closes $627M Deal to Acquire Surmodics.
After finally clearing legal challenges from regulators, Eden Prairie-based Surmodics is now a private company again. Chicago-based GTCR closed on its $627 million deal for Surmodics on Wednesday November
19. A favorable court ruling on Nov. 10 from the U.S. District Court for the Northern District of Illinois cleared the way for the deal to proceed. “With incremental clarity from the FTC, we are pleased to be able to move forward with closing the acquisition
by GTCR,” Surmodics CEO Gary Maharaj said Monday November 17 in a news release. The FTC declined to appeal the ruling, leading to the deal’s close.

Abyrx, Inc. and Kairuku, Inc. announce the closing of a combined $450 million transaction that includes a management-led buyout and new capital dedicated to acquiring commercial-stage surgical product companies.

The radiology world is reacting to GE HealthCare’s blockbuster plans to purchase cloud software provider Intelerad. Meanwhile, London-based private equity firm Hg is touting its successful exit from owning
Intelerad about five years after buying a majority stake. The investment group was estimated to have poured about $500 million into Intelerad in January 2020, with unconfirmed sources placing the total value at $650 million (Hg said it partnered with Ardan
Equity on the original deal). Fast forward to today and that figure has more than tripled, with GEHC paying approximately $2.3 billion in cash.

Abry Targets $1B Continuation Fund for Centauri Health.
Abry Partners is raising a continuation fund to extend its control over Centauri Health Solutions, a software provider to the healthcare industry whose valuation has ballooned since 2020. The middle-market
buyout shop is giving investors in Abry Partners Fund IX, which acquired Centauri in 2020, the option to sell their holdings to secondary investors or roll into a continuation fund, according to several people familiar with the matter. As much as $1 billion
could be raised to buy Centauri out of its original fund, the people said. Centauri had an enterprise value of $325 million at the time of Abry’s acquisition in 2020, according to PitchBook data.

OhioHealth Plans to Acquire 17th Hospital.
Columbus, Ohio-based OhioHealth is moving forward with plans to acquire Lancaster, Ohio-based Fairfield Medical Center, which would be its 17th acute-care hospital. The two organizations signed a nonbinding
agreement in fall 2024 to begin discussions about a formal partnership. In September, the board of directors from both health systems agreed to advance the process, potentially making Fairfield Medical Center a full member of OhioHealth, pending necessary
government filings and closing conditions, a spokesperson for the health system confirmed to Becker’s.

Clearside Biomedical Files for Chapter 11 Bankruptcy, Seeks Asset Sale.
Clearside Biomedical Inc. (NASDAQ: CLSD) filed a voluntary Chapter 11 bankruptcy petition in the U.S. Bankruptcy Court for the District of Delaware and plans to pursue an asset sale process. The biopharmaceutical
company intends to file a motion seeking court authorization for an auction under Section 363 of the U.S. Bankruptcy Code. The proposed bidding procedures would require interested parties to submit binding offers to acquire Clearside's assets in whole or in
part, purchased free and clear of liens and interests.

CMS Finalizes 2.6% Payment Increase for Hospital Outpatient Centers, ASCs.
The Trump administration has finalized the rule that sets government payments to hospital outpatient facilities and ambulatory surgical centers, including a 2.6% rate bump for each. That is an increase from
the proposed Outpatient Prospective Payment System (OPPS) rule, which pitched a 2.4% increase in the payment rate for outpatient services and ASCs. The rule also finalizes proposals that are a step toward site-neutral payments, a policy decried by the hospital
industry. Under the rule, the Centers for Medicare & Medicaid Services (CMS) finalized a plan to apply the Physician Fee Schedule rates to any codes assigned to the drug administration ambulatory payment classification when the services are provided at an
off-campus facility.
